Widespread Leadership and Platform Organisation: the evolution of our Organisation

We have initiated a profound transformation of our organisational and governance model, with the aim of responding more quickly and consistently to market challenges and the expectations of new generations. At the heart of this evolution are two key principles, Widespread Leadership and Platform Organisation, and two tools, the Charter of Values and the Organisational Constitution.

Charter of Values

A set of principles and behaviours structured around four polarities of identity - Responsible & Autonomous, Visionary & Concrete, Unique & Diversified, Disciplined & Bold - that are manifested as concrete organisational practices.

Organisational Constitution

A living, shared document that clearly defines roles, policies and modes of cooperation, inspired by the principles of self-management and distributed leadership.

Zero Distance Excellence (ZeroDX) Award

In September 2024, we received the prestigious Zero Distance Excellence (ZeroDX) Award in the "Transformation" category. This award, born from the collaboration between the Business Ecosystem Alliance, the Haier Model Institute and the MLab founded by Gary Hamel, one of the most influential thinkers in the field of business management and innovation, represents the greatest worldwide recognition related to business organisation.

The mission of the Sustainability Operating Committee

In line with our organisational model, in February 2025 we set up a Sustainability Operating Committee representing all the company's strategic operating and functional departments.

Two basic guidelines

The Committee performs two fundamental functions: defining the ESG strategy, and reporting and communicating same.

The great shared principles from which we draw our inspiration

The Code of Ethics was drafted in strict adherence with the guiding principles established worldwide in the declarations, treaties, initiatives and guidelines published by international legal bodies.

Our tools to protect legality

Ethics and sound governance underpin all our activities, guiding our daily operations in line with principles of transparency, accountability, and compliance with applicable regulations.

To further strengthen this approach, we have adopted Model 231 and the Code of Ethics of our parent company, Sesa S.p.A., which establish clear rules of conduct and the values that guide our work.

Maintaining the trust of all stakeholders

The Var Group Model 231 includes provisions for whistleblowing, a tool that enables our staff and suppliers to report, either anonymously or by name, any conduct that is unlawful or in violation of our corporate regulations.

VarWhistle: protection and transparency also in whistleblowing reports

VarWhistle is a whistleblowing system that ensures the identity of the whistleblower is protected, in line with Italian and European regulations. Operated according to a dedicated procedure, the platform allows individuals, suppliers and other interested parties to anonymously report alleged wrongdoing or violations of the Code of Ethics.
